What Carely is and isn’t responsible for
A plain-English summary, written so you can understand what you are agreeing to without reading the whole contract.
This page is a summary, not the agreement. The
Terms of Service are what actually govern your use of Carely, and if anything here
differs from them, the Terms control. This page exists because you deserve to know the shape of the deal
before you agree to it — not to replace the document.
The short version
Carely is software your agency uses to run its business. We keep the software working
and your data safe. Your agency decides what care is delivered, by whom, and what goes into the records.
We are not a healthcare provider, we do not employ your caregivers, and we do not make care decisions.
What we are responsible for
- Keeping the service available and working as described.
- Protecting your data with encryption in transit and at rest, access controls, and audit logging.
- Handling protected health information as your HIPAA Business Associate, under a signed BAA.
- Telling you promptly if there is a security breach affecting your data.
- Keeping encrypted backups and letting you export your data.
- Not selling your data, and not using your clients’ health information for advertising.
What we are not responsible for
- Care decisions. Clinical judgment is your agency’s, not ours.
- The accuracy of what you enter. Schedules, visit notes, hours, and billing data are yours.
- Your regulatory compliance. Licensing, labor law, wage-and-hour, and state EVV rules are your agency’s obligations.
- Claims being paid. We transmit what you submit; payers decide.
- Employment matters between your agency and its caregivers.
- Third-party services you connect, such as your payment processor or clearinghouse.
Things worth knowing before you agree
-
There is a cap on what we can owe you. If something goes wrong and we are legally
responsible, the Terms limit our total liability to roughly what your agency paid us over the prior
twelve months. This is normal for business software, and it is the trade that keeps the price what it is —
but you should know it is there. See section 13 of the Terms.
-
Disputes go to arbitration, individually. The Terms require most disputes to be resolved
by individual arbitration rather than in court, and waive class actions. See section 16.
-
The software is provided “as is”. We work hard to make it reliable, and we do not
promise it will never be unavailable or never contain an error. See section 12.
-
Carely does not give medical advice. Any suggestions, reminders, scores, or AI-generated
summaries are informational aids for trained staff — never a substitute for professional judgment.
-
In an emergency, call emergency services. Carely is not a monitoring or alarm service and
messages in it are not guaranteed to be seen immediately.
If you are a caregiver or a family member
You are using Carely because an agency invited you. That agency — not Carely — controls your access, decides
what you can see, and is responsible for the records it keeps about your loved one. If you want data
corrected or removed, ask the agency first; they can act on it directly. If you want to know what Carely
does with personal data, the Privacy Policy covers it.
Your data is yours
Your agency can export its data at any time, and closing an account starts a thirty-day window in which the
data can still be exported or the account reactivated before it is purged. Some records — signed agreements,
audit logs — are kept longer because the law requires it.
